NUSAMARKET TERMS AND CONDITIONS
Please read and understand these Nusamarket Terms and Conditions ("Terms and Conditions").
a. INTRODUCTION
These Terms and Conditions serve as the foundation for Users in accessing, using, and carrying out their activities on Nusamarket, including but not limited to setting the contents, features, and transactions therein. Nusamarket is a platform within the Nusameta ecosystem, owned by PT Metaverse Indonesia Makmur (the "Company"), and serves as a medium for Users to collect, publish, display, and monetize Virtual Reality Token. The User&aposs agreement to comply with these Terms and Conditions is established when the User accesses Nusamarket, either through the website or application. By accessing Nusamarket, the User is deemed to have read, understood, and agreed to all these Terms and Conditions, as well as other provisions related to the use of Nusamarket.
b. INTERPRETATIONS AND DEFINITIONS
"Account" means a Betapass Account used to access, make transactions, and utilize all services in Nusamarket and all other services integrated into the Nusameta ecosystem.
"Virtual Reality Token" or "VRT" is a digital asset in a Non-Fungible Token format, recorded on the blockchain network using cryptographic techniques, and providing legitimate and genuine proof of ownership.
"Creator" means an issuer that creates and produces VRT for sale on Nusamarket, with proof that the Creator's ownership of VRT is recorded on the Company’s blockchain network.
"Collector" means the party who buys, collects, and resells VRT on Nusamarket, with proof of the Collector’s purchase and ownership of VRT recorded on the Company’s blockchain network.
c. USER TERMS
Users must first have an account to make transactions and use all services on Nusamarket. Users must use Nusamarket, in accordance with the provisions stipulated in these Terms and Conditions. Users cannot use Nusamarket if they do not agree to these Terms and Conditions.
Users under the age of 13 (thirteen) must first obtain approval from their parents or legal guardians to access and use Nusamarket. The Company reserves the right to suspend the Account without prior notice if IT finds a violation of the age requirement.
If Users access and use Nusamarket on behalf of a legal entity and/or business entity, then the legal entity and/or business entity is also deemed to have agreed to these Terms and Conditions.
Thus, all actions taken by the Users are considered legal actions representing the legal entity and/or business entity, including but not limited to access, use, and transactions carried out by the Users.
c. PERSONAL DATA PROTECTION
To access and use Nusamarket, Users are required to provide Personal Data. Users agree to provide Personal Data correctly, clearly, and accurately, including but not limited to information listed on Identity Cards or other identification documents, mobile phone numbers, email addresses, IP addresses, login information, geolocation, and browser versions. Users must promptly update their Personal Data provided to Nusamarket if any changes, additions, or adjustments are needed to ensure their Personal Data remains true, accurate, and complete over time.
The Company is not responsible for any losses incurred if Users provide confidential and Personal Data to other parties. Users are also responsible for maintaining the confidentiality of their User Accounts and passwords, including the settings and configuration on Nusamarket with third-party services.
The provisions of this Privacy Policy refer to the Privacy Policy set forth on Betapass. Users are deemed to have read and agreed to the terms of the Betapass Privacy Policy, including current terms and any future amendments.
d. PSEUDONYM
Pseudonyms are User data identified by a code instead of the User's real name or other directly identifiable information, Users may use pseudonyms to conceal their identity when accessing and using Nusamarket.
e. CONTENT PROVISIONS AND INTELLECTUAL PROPERTY RIGHTS ON VRT
Creators are prohibited from creating VRTs that are related to and/or display violence, sexual content, pornography, narcotics and psychotropic substances, cigarettes, liquor, gambling, antisocial content, threats, or other content that is contrary to the provisions stipulated in laws and regulations, public order, decency, and public peace.
Creators are prohibited from participating in, assisting, or engaging in activities, whether knowingly or unknowingly, to transact, gather, or join syndicates that aim to unfairly and deceptively influence the market price of VRTs.
Creators who issue and publish VRTs are responsible for guaranteeing that they are the owners or legal holders of the intellectual property rights of the published VRTs. Creators must ensure that the intellectual property rights of the VRTs published on the Nusamarket are exclusive and free from any claims and/or lawsuits from third parties over the ownership. The Company has the right to terminate or suspend an Account suspected of violating intellectual property rights. However, Users acknowledge that the Company does not curate or select the VRTs contained on Nusamarket, and therefore, the Company is not responsible for VRT authenticity or intellectual property rights committed by the Creators. Users should conduct their research and judgment before purchasing any VRT.
Collectors can select and store VRTs as private collections, exchange VRTs for tokens belonging to other Users, or obtain other services and facilities offered by the Nusameta ecosystem and/or the Company's partners. Ownership of a VRT by a Collector does not transfer the intellectual property rights contained in the VRT to the Collector; those rights remain with the Creator. All services and facilities arising from a VRT will transfer along with the VRT if it is sold to another Collector. If the Collector sells their VRT, all associated services and facilities will also be transferred.
Collectors can use VRT digitally for any purpose, both for commercial purposes such as monetization and non-commercial purposes such as publication, as long as VRT ownership remains with the Collector. Physical use of VRT in the real world can be done by the Collector based on the decision of the VRT Community.
f. VRT COPYRIGHT REGISTRATION AT THE DIRECTORATE GENERAL OF INTELLECTUAL PROPERTY RIGHTS
The Company encourages Creators to register their VRT copyright through https://ehakcipta.dgip.go.id/ . This copyright registration is essential to legally protect the creative assets owned by the Creator regarding the VRT they create. The Creator understands that the Company has provided an explanation regarding the importance of copyright registration for VRT at the Directorate General of Intellectual Property.
g. SERVICE FEE
Users acknowledge that transactions in Nusamarket are subject to service fees. The Company holds sole authority in determining these fees. Users are required to pay the service fee set by the Company to complete the VRT sales transaction in the Nusamarket.
h. PROMOTION AND PUBLICATION
Users may establish communities, programs, or activities inspired by Nusamarket, provided that they aim to promote and publicize Nusamarket to the public and community. The Company is not responsible for these communities, programs, or activities formed by Users, but Users may invite the Company to cooperate and participate in such endeavors. When engaging in these activities, Users must act in good faith and uphold the image and reputation of Nusa Market and the Company.
The User understands and agrees that the Company may use the VRTs owned by the User, anytime and anywhere, without prior notification, as long as the VRTs are used solely for the promotion and marketing of Nusamarket and the Company.
i. LIMITATION OF LIABILITY
Users are fully responsible for all activities and consequences arising from using their Account. All activities carried out using an Account are considered legitimate activities by the Account holder. The Company is not responsible if unauthorized parties gain access to a User's Account due to the User's negligence and/or integration with third-party services. By using the Account to log in on the third-party platform, the User agrees to provide their Personal Data to the third party. The storage and processing of User Personal Data by third parties are subject to the terms and conditions and/or privacy policies of those third parties, not governed by these Terms and Conditions. Any disclosure of information and/or activities carried out by Users on third-party platforms is beyond the Company’s responsibilities, and the Company is not liable for any resulting consequences or losses.
Users are responsible for providing consent when accessing and using Nusamarket. The Company will provide all necessary information to help Users understand what they are taking with their Personal Data and other consents related to activities in Nusamarket. Users have full control over their Account, and the Company will only act within the extent of User consent. Users are solely responsible for any losses and consequences arising from negligence or errors.
Users must promptly notify the Company of any suspicious activities, suspected misuse, security threats, or violation of User interests, Company interests, or applicable laws and regulations. The Company is not responsible for monitoring or curating content published by Users, including VRTs, but the Company reserves the right to remove content at its sole discretion to detect and prevent violations in Nusamarket and violations of laws and regulations without prior notice to Users.
Users hereby release the Company, its affiliates, officers, directors, and employees from all claims and lawsuits arising from disputes between Users.
Users understand that the Company is not responsible for failed purchases or sales of VRTs within Nusamarket nor the loss of VRTs purchased by Users or hacking of Users' wallets. Users also understand and agree that the Company is not responsible for the accuracy and suitability of VRTs published by the Users.
In accessing and using Nusamarket, Users understand and agree that Nusamarket only functions as a platform provided by the Company for the buying and selling of VRTs. Therefore, all transactions and/or activities within Nusamarket are not the responsibility of the Company
j. REPRESENTATION AND GUARANTEE
The Users hereby represent and warrant that:
- Users are persons who are capable and legally authorized to take legal action under the laws of the Republic of Indonesia, including binding oneself and complying with all these Terms and Conditions.
- User Content, including but not limited to VRT, does not violate these Terms and Conditions or other provisions regulated by Nusamarket and does not infringe upon the provisions of applicable laws and regulations.
- VRT published by the Creator is an original work, not a duplication or plagiarism from any party. The Creator guarantees that the published VRT complies with the law, public order, and societal norms.
- Users have read and understood the entire contents of these Terms and Conditions and therefore willingly agree to, submit to, and comply with all these Terms and Conditions. v. Users have provided true, accurate, and complete Personal Data.
- Users represent and warrant that accessing and/or using Nusamarket will only be for the purposes specified in these Terms and Conditions, carried out in good faith and prudently based on legitimate purposes, and does not violate applicable laws and regulations.
- Users represent and warrant that they will not take actions that violate laws and regulations, court decisions, public order, discrimination against other parties, infringe upon intellectual property rights, violate provisions on Personal Data protection, or other provisions regulated by Nusamarket and applicable laws and regulations
k. INTELLECTUAL PROPERTY RIGHTS OF THE COMPANY
Users do not acquire any ownership rights or intellectual property rights owned by the Company, including but not limited to patents, copyrights, trademarks, trade secrets, or other intellectual property rights contained in Nusamarket. Users acknowledge that any actual or planned violation of the intellectual property rights provisions will result in the termination of all rights and access of Users to Nusamarket. Any losses arising from the unauthorized use of the Company's intellectual property rights by the Users shall be the sole responsibility of the Users.
l. ACCOUNT TERMINATION AND DELETION
The Account will remain valid indefinitely unless the User terminates and/or deletes the Account or commits a violation. The Company reserves the right to terminate the User's access to the Account and cease the use of Nusamarket at any time in the event of a violation of these Terms and Conditions, activities causing losses, or suspected of causing losses to the Company, security threat to the Nusamarket system, violations of applicable laws and regulations, or orders from the competent authorities.
The Account will remain valid indefinitely unless the User terminates and/or deletes the Account or commits a violation. The Company reserves the right to terminate the User's access to the Account and cease the use of Nusamarket at any time in the event of a violation of these Terms and Conditions, activities causing losses, or suspected of causing losses to the Company, security threat to the Nusamarket system, violations of applicable laws and regulations, or orders from the competent authorities.
If the User wishes to terminate access to Nusamarket, they must close the Account and comply with the termination procedures determined by the Company. The User understands that upon requesting termination and/or closure of the Account, the Company reserves the right to verify and request additional information and data if necessary. If the verification conducted by the Company is unsuccessful, the Company reserves the right to reject the User’s application for Account termination.
m. FORCE MAJEURE
The Company shall not be liable and responsible for any failure to perform or delay in the performance of the Company's obligations under these Terms and Conditions due to events beyond the Company's control, including but not limited to strikes, riots, invasions, terrorist attacks, threats of terrorist attacks, war, threats or preparations for war, fire, explosion, storm, flood, earthquake, other natural disasters, failure or disruption of telecommunications networks, or emergency measures of competent authorities.
n. APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms and Conditions shall be governed and interpreted under the laws of the Republic of Indonesia. This means that any disputes arising out of or in connection with these Terms and Conditions will be resolved through deliberation by the Company and Users. If the Company and the User fail to reach a consensus after deliberation within 30 (thirty) calendar days, both parties agree to resolve disputes at the Indonesian National Arbitration Board (BANI) in Jakarta, following procedures and regulations determined by BANI. The decision of BANI will be final and binding for all parties.
o. SEPARATION
Each provision in these Terms and Conditions applies separately. If any provision is found to be invalid, unenforceable, or illegal, the remaining provisions will continue to be in full force and effect.
p. MISCELLANEOUS PROVISIONS
These Terms and Conditions may be amended and updated in whole or in part from time to time without prior notice to the Users and shall take upon being uploaded on the Nusam Market website and/or application. Users are required to periodically check for changes to these Terms and Conditions through the Nusamarket website and/or application.
Users understand that Nusamarket is provided on an “as is” and “as available” basis. The Company will use all reasonable efforts to maintain Nusamarket services, communications, and updates. However, Users understand that the Company does not guarantee the accuracy or completeness of the content or information contained therein, nor that Nusamarket will be free from errors, obstacles, interruptions, defects, failures, downtime, maintenance, or modifications.
The Company shall not be liable for any damage or interruption caused by computer viruses, spyware, scareware, trojan horses, or other attacks that may affect Users' devices. Users are advised to take necessary precautions and protection for their devices.
q. INFORMATION SERVICES
Users may contact the Company with any questions, requests, comments, complaints, claims, or other grievances through the official Nusamarket contact listed on the Nusamarket website and/or application.
r. DISCLAIMER
THE USER UNDERSTANDS AND AGREES THAT NUSAMARKET IS PROVIDED “AS IS” AND “AS AVAILABLE”. THE USER AGREES THAT THE USE OF NUSAMARKET IS THE USER'S SOLE RISK AND DECISION. THE COMPANY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF NUSAMARKET. THE COMPANY SHALL BE LIABLE FOR ANY ERRORS, PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, AND REVENUE OF ANY KIND RESULTING FROM THE USER'S ACCESS TO NUSAMARKET.
